Refund Policy
3.1 Service Engagement Terms
All service engagements with NovadevSignals are governed by milestone-based delivery frameworks. Payment schedules are structured to align with verified project progression. Refund eligibility is assessed on a case-by-case basis considering the following criteria: the percentage of work completed at the time of cancellation; the stage of the project lifecycle; and any third-party costs already incurred on the client's behalf.
3.2 Cancellation Before Work Commencement
If a service engagement is cancelled within 48 hours of payment confirmation and before any work has commenced, a full refund of the initial payment will be processed within 14 business days. Cancellations must be submitted in writing to [email protected].
3.3 Cancellation During Active Project
For cancellations occurring after work has begun, the refund amount is calculated based on the milestone completion percentage. Completed and approved milestones are non-refundable. Work-in-progress milestones are assessed proportionally based on resource allocation, deliverable completion status, and documented time investment. Refund calculations are provided in a detailed invoice statement within 10 business days of cancellation receipt.
3.4 Non-Refundable Items
The following items are non-refundable under any circumstance: third-party license fees, domain registration costs, hosting infrastructure deposits, stock media or asset acquisitions made specifically for the project, and consulting hours that have been delivered and documented.
3.5 Refund Processing
All approved refunds are processed via the original payment method within 30 business days. Currency conversion differences between the time of payment and refund are borne by the client. Partial refunds may be issued via agreement of both parties in writing.
3.6 Dispute Resolution
In the event of a refund dispute, both parties agree to engage in a good-faith mediation process lasting a minimum of 30 days before pursuing alternative resolution mechanisms. This mediation shall be conducted in the Romanian language at the registered address of NovadevSignals.
Terms of Service
4.1 Acceptance of Terms
By accessing, browsing, or utilizing any services offered through this website operated by NovadevSignals, registered at 430154, Strada Baia Mare, Baia Mare, Romania, Romania, you acknowledge and agree to be bound by these Terms of Service. If you do not accept these terms in their entirety, you must immediately discontinue use of this website and any associated services.
4.2 Scope of Services
NovadevSignals provides digital studio services including but not limited to web development, UI/UX design, brand engineering, API architecture, infrastructure deployment, and creative technology consulting. The specific scope, deliverables, timeline, and pricing for each engagement are defined in a mutually executed Statement of Work (SOW) or service agreement that supplements these general terms.
4.3 Intellectual Property
Upon full payment of all invoiced amounts, the client receives a perpetual, non-exclusive license to use all custom-developed deliverables as specified in the applicable Statement of Work. Source code, design assets, and proprietary frameworks developed during the engagement become the client's property upon final payment, unless otherwise specified in writing. NovadevSignals retains the right to display anonymized case studies, screenshots, and portfolio entries showcasing completed work, unless the client explicitly opts out in writing.
4.4 Confidentiality
Both parties agree to maintain strict confidentiality regarding all proprietary information, trade secrets, business strategies, technical architectures, and financial data disclosed during the course of the engagement. This confidentiality obligation survives the termination of the service relationship for a period of 36 months. Exceptions apply only for information that: becomes publicly available through no fault of the receiving party; was already known to the receiving party prior to disclosure; is independently developed without reference to confidential information; or is required to be disclosed by law or regulatory authority.
4.5 Limitation of Liability
To the maximum extent permitted by applicable law, NovadevSignals shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of services or this website. Our total aggregate liability for any claim arising from a service engagement shall not exceed the total fees paid by the client under the applicable Statement of Work during the 12-month period preceding the claim. This limitation does not apply to damages caused by gross negligence or willful misconduct.
4.6 Force Majeure
Neither party shall be held liable for failure or delay in performing obligations under these terms when such failure or delay results from circumstances beyond the reasonable control of the affected party, including but not limited to: natural disasters, pandemic restrictions, government sanctions, war or armed conflict, cyberattacks of exceptional scale, telecommunications infrastructure failures, or prolonged energy supply disruptions. The affected party must provide written notification within 7 days of the force majeure event and use commercially reasonable efforts to mitigate its impact.
4.7 Governing Law and Jurisdiction
These Terms of Service are governed by and construed in accordance with the laws of Romania and the European Union, including the General Data Protection Regulation (EU 2016/679). Any disputes arising from or related to these terms shall be subject to the exclusive jurisdiction of the competent courts in Baia Mare, Romania. Before initiating formal proceedings, both parties agree to engage in a minimum 30-day informal resolution process.
4.8 Modifications
NovadevSignals reserves the right to modify these Terms of Service at any time. Updated terms will be published on this page with a revised effective date. Material changes affecting active service engagements will be communicated via email to the registered contact address at least 14 days prior to taking effect. Continued use of services after the effective date constitutes acceptance of the modified terms.
4.9 Severability
If any provision of these Terms of Service is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the parties.
